Client Service Agreement Terms
These Terms and Conditions govern the provision of custom software development, website design, mobile application engineering, cloud infrastructure, and digital marketing services by BrainTech Info Solutions Pvt. Ltd. ("Company") to clients ("Client").
1. Project Scoping & Proposals
All development engagements are executed pursuant to a mutually agreed Statement of Work (SOW) or project quotation. The SOW defines deliverables, technology stacks, sprint schedules, milestones, and payment terms. Any alterations or feature additions outside the agreed SOW will be evaluated as a change order.
2. Intellectual Property (IP) Ownership
Upon receipt of full and final payment for all contract milestones, the Company assigns 100% of the custom source code, design assets, and database architectures specifically developed for the Client. Open-source libraries and frameworks (e.g. Next.js, React, Laravel, Flutter) remain governed by their respective open-source licenses (MIT, BSD, Apache).
3. Milestone Payments & Invoicing
Engagements typically operate on structured milestone disbursements (e.g., initial advance, UI/UX approval, beta development, final deployment). All invoices are issued in Indian Rupees (INR) with applicable GST charges. Timely invoice settlements are required to ensure continuous sprint delivery.
4. Quality Assurance & Warranty Period
BrainTech provides a complimentary post-launch warranty period (typically 30 to 60 days as defined in the SOW) following production deployment. During this window, the Company remedies any reproducible software bugs or deviations from the agreed specification at zero additional cost.
5. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these agreements shall be subject to the exclusive jurisdiction of the competent courts in Lucknow, Uttar Pradesh.
